In this role you will drive value by providing support to deal teams and business units throughout the organization with respect to the tax aspects of pending acquisitions, dispositions, financings, reorganizations (acquisitive and divisive), restructurings, and joint ventures, with a view to optimize taxes. You will also serve as the federal tax single point of accountability and be able to identify non-federal tax issues to be addressed by applicable SME. You will also work with Governmental Affairs, Investor Relations, and Communications to promote the Company's legislative priorities and assist with communications.  Strongly Preferred Qualifications

  • Strong transactional tax background (focused on acquisitions, dispositions, financings, reorganizations (acquisitive and divisive), restructurings, and joint ventures)
  • 5+ years of experience (1) working with the rules in Subchapter K, Subchapter C, and the consolidated return regulations; (2) structuring and documenting complex M&A transactions; (3) drafting tax memoranda, opinions, and ruling requests; (4) reviewing transaction documents and drafting tax provisions; (5) reviewing and commenting on the tax aspects of financial models; and (6) supporting critical business operations and managing various projects/workstreams.
  • Strong organizational and interpersonal skills, including the ability to coordinate effectively with various subject matter specialists and proactively support internal customer relationships.
  • Two (2) years of experience preferred working on M&A tax issues at an Am Law 100 law firm or in the M&A group or Washington National Tax office of a "Big 4" public accounting firm. Energy industry preferred, but not required.

•   Serves as the single point of accountability for federal tax issues and identifies non-federal tax issues to be addressed by applicable subject matter expert
•   Works with Governmental Affairs, Investor Relations, and Communications to promote the Company's legislative priorities and assist with communications
•   Performs other job-related duties as assigned

Required Qualifications


•  Member in Good Standing of State Bar
•  Juris Doctorate
•  LLM - Master of Laws
•  Bachelor's Degree
•  Experience:5+ years
